Terms of Service

By downloading, installing, or configuring the CliQPal integration software module, you ("the Merchant," "the Client") explicitly agree to be legally bound by these standard commercial Terms of Service.

1. Software Scope and Licensing Model

CliQPal grants the Merchant a non-exclusive, non-transferable lifetime software license to utilize our integration module on a specified storefront domain.

• The license cost is a one-time fixed acquisition fee.
• No ongoing transaction cuts or platform subscriptions are levied by CliQPal.

2. Financial Non-Custodial Disclaimer

CliQPal is entirely a technical middleware asset. We are not a payment gateway company, money transmitter, financial institution, or clearing house.

• We do not hold, touch, clear, or escrow merchant or customer capital.
• All transaction routing, payment approvals, settlement windows, and liquidity executions are handled solely by your local commercial bank under Central Bank of Jordan (CBJ) and JoPACC frameworks.

3. Merchant Obligations (Commercial CR & Keys)

The Merchant is solely responsible for obtaining and maintaining an active commercial banking account with CliQ corporate capabilities, including a valid Commercial Register (Sajil Tojari). The Merchant is entirely responsible for the security of their private API authentication keys, client secrets, and webhooks stored locally on their server.

4. Limitation of Liability and Warranties

The software is provided on an "as-is" structural basis. CliQPal explicitly disclaims all liability for:

• Operational losses or interrupted checkouts resulting from bank API endpoint downtimes, JoPACC network maintenance, or local hosting failures.
• Unintended code breaks arising from manual core modifications executed by the Merchant's internal development teams.

5. Governing Law

These Terms of Service are governed and interpreted exclusively in accordance with the prevailing commercial laws and digital commerce regulations of the Hashemite Kingdom of Jordan.
